These Terms govern the use of the Invoiceur software application provided by Nerdla, Inc..

1. Acceptance

By downloading, installing, or using Invoiceur, you agree to these Terms.

2. Intended Use

Invoiceur is a productivity tool designed to assist users in generating invoices. It is not accounting, bookkeeping, or tax preparation software.

3. No Professional Advice

The software does not provide financial, accounting, tax, or legal advice.

4. Jurisdictional Compliance

Invoiceur is provided as a general-purpose software tool to assist users in creating invoice documents. Laws governing invoicing, taxation, financial reporting, and business recordkeeping vary between jurisdictions and may change over time.

Nerdla, Inc. makes no representation or warranty that invoices generated using Invoiceur satisfy the legal, regulatory, tax, or accounting requirements of any jurisdiction.

Users are solely responsible for verifying that invoices generated using the software comply with applicable laws and regulations within their jurisdiction, including tax reporting obligations, invoice formatting requirements, and recordkeeping standards.

Nerdla, Inc. shall not be liable for any financial losses, penalties, regulatory actions, or damages resulting from the use of Invoiceur in any jurisdiction.

5. Accuracy of Financial Documents

Users are solely responsible for verifying the accuracy of invoices generated using the software and ensuring compliance with applicable tax and financial regulations.

6. User Responsibility for Data

  • Users are responsible for maintaining backups.
  • Users are responsible for exporting records for accounting or tax purposes.
  • Users are responsible for securing their devices.

7. Limitation of Liability

To the fullest extent permitted by law, Nerdla, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of the Invoiceur software.

This includes, without limitation, damages for financial loss, lost profits, business interruption, loss of business opportunities, loss of data, tax liabilities, regulatory penalties, accounting errors, or other economic damages.

In no event shall the total liability of Nerdla, Inc., whether in contract, tort, negligence, strict liability, or otherwise, exceed the amount paid by the user for the software.

8. Software Availability

Nerdla, Inc. may release updates, modifications, or new versions of the Invoiceur software from time to time.

Nerdla, Inc. reserves the right to modify, replace, suspend, or discontinue any aspect of the software, including specific features or functionality, at any time.

Nothing in this Agreement guarantees that the software will continue to be available, maintained, or supported for any specific period of time.

Users acknowledge that software evolves and that future versions may differ from the version initially obtained.

9. Governing Law

These Terms are governed by the laws of the State of Delaware, United States.
